NON-EXCLUSIVE ROYALTY-FREE LICENCE AGREEMENT

This Non-Exclusive Royalty-Free Licence Agreement (“Licence”) governs the use of digital 3D anatomy illustrations (“Illustrations”) purchased or downloaded from 3DMedicalillustration.com (“Licensor”, “we”, “us” or “our”)

By purchasing, downloading or otherwise obtaining an Illustration, you (“Licensee”, “you” or “your”) agree to be bound by this Licence.

1. Ownership

All copyright and other intellectual property rights in the Illustrations remain the property of the Licensor.

Your purchase of an Illustration does not transfer ownership or copyright in the Illustration to you.

You are purchasing a licence to use the Illustration in accordance with this Licence.

Unless expressly stated otherwise in writing, the Licensor retains the right to use, reproduce, modify, display, sell, license and otherwise exploit the Illustrations and to grant licences to other customers.

2. Grant of Licence

Subject to your payment of the applicable purchase price and compliance with this Licence, the Licensor grants you a non-exclusive, worldwide, perpetual and royalty-free licence to use the purchased Illustration for the permitted purposes described in this Licence.

“Royalty-free” means that, after payment of the applicable purchase price, you do not owe the Licensor additional royalties based solely on your permitted use of the Illustration.

This Licence is non-exclusive. The Licensor may grant the same or similar rights to other persons or businesses.

3. Permitted Uses

Subject to the restrictions in this Licence, you may use the Illustration:

  • in websites and online platforms;

  • in social media posts and content;

  • in digital publications and presentations;

  • in educational and training materials;

  • in books, ebooks, articles and other publications;

  • in advertising and marketing materials;

  • in presentations, lectures and courses;

  • in commercial projects and client work;

  • in videos, animations and other audiovisual productions;

  • in software, applications and digital products, provided that the Illustration is incorporated into the product and is not made available as a standalone downloadable asset;

  • in printed materials, including books, posters, brochures and educational materials; and

  • for your own personal, professional, educational or commercial purposes.

You may resize, crop, recolour, reposition, annotate or otherwise modify an Illustration where reasonably necessary for your permitted use.

4. Commercial Use

Commercial use is permitted.

You may use the Illustration in connection with your business, products, services, advertising, marketing, educational materials, publications and client projects without paying additional royalties to the Licensor.

If you incorporate an Illustration into a larger work, the resulting larger work may be sold, licensed or otherwise commercially distributed, provided that the Illustration itself is not separately distributed in a manner prohibited by this Licence.

5. Prohibited Uses

You may not:

  1. resell, sublicense, rent, lease or distribute the Illustration as a standalone asset;

  2. make the original Illustration, or a substantially similar version of it, available for download by third parties;

  3. upload the Illustration to stock-image, stock-asset, clip-art or similar libraries for redistribution;

  4. sell or distribute the Illustration as a standalone digital product;

  5. use the Illustration in a product whose primary purpose is to provide customers with downloadable images, 3D models, illustrations or other visual assets;

  6. claim ownership or copyright of the Illustration;

  7. register the Illustration, or a substantially similar version of it, as a trade mark, design or other intellectual property right;

  8. use the Illustration to create or distribute a competing illustration or asset library;

  9. use the Illustration for unlawful, fraudulent or defamatory purposes;

  10. remove copyright notices or other ownership information supplied with the Illustration where doing so is technically avoidable;

  11. use the Illustration in a way that falsely suggests that the Licensor endorses, sponsors or is affiliated with you or your organisation; or

  12. use the Illustration to train, fine-tune, develop or improve an artificial intelligence or machine-learning model, dataset or generative system, unless the Licensor has expressly authorised that use in writing.

6. Client and Third-Party Work

You may incorporate the Illustration into work created for a client or third party.

You may deliver the resulting finished work to that client or third party as part of your services.

However, you must not transfer ownership of the underlying Illustration or provide the client or third party with the Illustration as a standalone asset unless separately authorised by the Licensor.

Your client or third party receives no independent right to extract, redistribute, resell or reuse the Illustration outside the finished work.

7. Attribution

Attribution is not required for ordinary permitted use of the Illustrations.

8. Medical and Educational Disclaimer

The Illustrations are visual representations intended for [educational / illustrative / informational / artistic] purposes.

Unless expressly stated otherwise, the Illustrations are not medical devices, diagnostic tools or substitutes for professional medical advice, diagnosis or treatment.

You are responsible for determining whether an Illustration is suitable and sufficiently accurate for your particular intended use.

The Licensor does not warrant that an Illustration is medically accurate, complete, current or suitable for any particular clinical, diagnostic or medical purpose.

If you use an Illustration in medical, healthcare, educational or professional materials, you are responsible for reviewing the Illustration and determining its suitability for that purpose.

9. No Transfer of Copyright

Nothing in this Licence constitutes an assignment or transfer of copyright or other intellectual property rights.

You receive only the licence rights expressly granted in this agreement.

All rights not expressly granted to you are reserved by the Licensor.

10. No Sublicensing

You may not sublicense the Illustration or grant another person or organisation a separate licence to use the Illustration.

This does not prevent you from incorporating the Illustration into a finished work or project as permitted under this Licence.

11. Licence Term

The licence granted under this agreement is perpetual unless terminated in accordance with this Licence.

The Licensor may terminate this Licence if you materially breach its terms and fail to remedy that breach within 14 days of receiving written notice of the breach.

Upon termination, you must stop making new uses of the Illustration and, where reasonably practicable, remove standalone copies of the Illustration from your systems and platforms.

Termination does not require you to recall or destroy previously distributed finished works that were lawfully created before termination.

12. Refunds and Licence Revocation

Purchases of digital products are subject to the refund policy published on 3DMedicalillustration.com.

Where a refund is issued because a purchase is cancelled or reversed, the licence granted for that Illustration automatically terminates and you must cease using the Illustration.

13. Warranty

The Illustrations are provided on an “as is” basis, except to the extent that applicable law requires otherwise.

To the fullest extent permitted by law, the Licensor makes no warranties that an Illustration will meet your particular requirements or be suitable for a particular purpose.

Nothing in this Licence excludes or limits any liability that cannot legally be excluded or limited.

14. Limitation of Liability

To the fullest extent permitted by applicable law, the Licensor shall not be liable for indirect, incidental, special or consequential losses arising from your use of an Illustration.

The Licensor's total liability arising out of or relating to an Illustration or this Licence shall not exceed the amount you paid for the relevant Illustration, except where such limitation is prohibited by applicable law.

Nothing in this clause limits liability for fraud, fraudulent misrepresentation, death or personal injury caused by negligence, or any other liability that cannot legally be limited or excluded.

15. Indemnity

To the extent permitted by applicable law, you agree to indemnify and hold the Licensor harmless from claims, losses, damages and reasonable costs arising from your unauthorised use of an Illustration or your breach of this Licence.

16. Intellectual Property Infringement

If you become aware of an unauthorised reproduction, distribution or other infringement of an Illustration, you may notify the Licensor at:

The Licensor may take whatever action it considers appropriate to protect its intellectual property rights.

17. Governing Law

This Licence and any dispute or claim arising out of or in connection with it shall be governed by the laws of England and Wales.

The courts of England and Wales shall have exclusive jurisdiction over disputes arising from or relating to this Licence, except where applicable law provides otherwise.

18. Entire Agreement

This Licence constitutes the entire agreement between you and the Licensor concerning your licensed use of the Illustrations and supersedes any previous agreement or understanding concerning that use.

If any provision of this Licence is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

A failure by the Licensor to enforce any provision of this Licence shall not constitute a waiver of that provision.

CUSTOMER ACCEPTANCE

By purchasing or downloading an Illustration, you acknowledge that:

  • you have read and understood this Licence;

  • you agree to its terms;

  • you understand that copyright remains with the Licensor; and

  • you understand that your purchase gives you a licence to use the Illustration, rather than ownership of the copyright.
